Issue: Whether a forum-selection clause in The Gap, Inc.’s corporate bylaws which names the Delaware Chancery Court as the only venue where all claims against the company must be brought is invalid and unenforceable as against public policy and in violation of the plaintiff’s Constitutional due process rights.
